These Official Rules govern the INTERNATIONAL SUSHI DAY TIKTOK GIVEAWAY CONTEST (the “Promotion”).
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THE PROMOTION. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.
For the purposes of these Official Rules, "The Promoter" refers to Kura Sushi USA, Inc. whose TikTok handle is @kurasushiusa. The "Prize" refers to one (1) $100 gift certificate in the form of four (4) $25 gift certificates to Kura Revolving Sushi Bar, one (1) complete set of Mr. Fresh Figure Keychains, and five (5) sushi towels. Six (6) winners will be selected at random to each receive one (1) $100 gift certificate in the form of four (4) $25 gift certificates to Kura Revolving Sushi Bar, one (1) complete set of Mr. Fresh Figure Keychains, and five (5) sushi towels.
By entering the Promotion you agree to be bound by these Official Rules. The Promotion begins June 18, 2024 at 10:00 a.m. PDT and ends June 20, 2024, at 11:59 p.m. PDT (the “Promotion Period”). All entries must be received by June 20, 2024 at 11:59 p.m. PDT. Winners in the United States will be selected at random by The Promoter on June 25, 2024 and the winners will be notified on or after this date.
This Promotion is only open to persons 18 years of age or older and legal residents who live in the United States. Winners will be chosen at random from all eligible entries across TikTok.
1. No purchase necessary. Entrants are not required to pay to enter the Promotion. By participating, you agree to all rules and details of this Promotion. A purchase will not increase your chances of winning. This Promotion is in no way sponsored, licensed, endorsed, or administered by, or associated with, TikTok.
2. Only one entry per person will be accepted for this Promotion.
3. Employees of The Promoter, and its parent, affiliates, subsidiaries, agencies, agents, directors, officers and distributors, and their immediate family members, are ineligible to enter.
4. Odds of winning a Prize will depend on the total number of eligible entries received during the Promotion Period.
5. Each entrant shall enter the Promotion via TikTok by following @kurasushiusa and tagging one (1) friend in the comments section of the giveaway post.
6. The Prize will be awarded to six (6) randomly selected winners who have entered on TikTok, using a random winner generator. The Promoter will not be held liable if the named prize becomes unavailable or cannot be fulfilled.
7. Potential winners will be announced via @kurasushiusa TikTok Stories and direct messaged by @kurasushiusa on or about Tuesday, June 25, 2024. Failure to respond to the direct message within three (3) days of the first notification attempt may result in the Potential winner being disqualified and an alternate potential winner may (in The Promoter’s sole discretion) be selected.
8. The Promoter will not be held liable for any failure of receipt of entries. The Promoter takes no responsibility for any entries which are lost, delayed, illegible, corrupted, damaged, incomplete, or otherwise invalid.
9. To the extent permitted by applicable law, the entrant knowingly and expressly waives all rights to seek punitive, incidental, consequential, or special damages, or lost profits, or any other damages. The Promoter’s liability under or in connection with the Promotion or these Official Rules shall be limited to the cost price of the Prize in question.
10. To the extent permitted by applicable law, The Promoter shall not be liable under or in connection with these terms and conditions, the Promotion or any Prize for any indirect, special or consequential cost, expense, loss or damage suffered by a participant even if such cost, expense, loss or damage was reasonably foreseeable or might reasonably have been contemplated by the participant and The Promoter and whether arising from breach of contract, tort, negligence, breach of statutory duty or otherwise.
11. Prizes are non-negotiable, non-transferable, and non-refundable. No cash alternative is available. Where a Prize becomes unavailable for any reason, The Promoter reserves the right to substitute that prize for a prize of equal or higher value.
12. The name, address, e-mail address and phone number of the potential winner must be provided to The Promoter if requested and will be shared to enable fulfilment of the Prize. The prize may be delivered by e-mail or by mail (in The Promoter’s sole discretion).
13. In the event of unforeseen circumstances beyond The Promoter’s reasonable control, The Promoter reserves the right to cancel, terminate, modify, or suspend the Promotion or these terms and conditions, either in whole or in part, with or without notice.
14. The Promoter's decision is final. No correspondence will be entered into.
15. The winner’s name and social media username may be posted on the social media profiles of The Promotor after the winner has been selected, and may be included on a winner’s list.
16. Subject to applicable law, the entrants and winner(s) grant The Promotor and its successors and assigns, the right and permission to use their name (except that the name of Tennessee residents who do not so consent will not be used for purely publicity purposes), voice, likeness and/or biographical material for advertising, promotional and/or publicity purposes in connection with the Promotion, in all forms of media and by all manners (now and hereafter known), and on and in connection with related products, services, advertising and promotional materials (now known or hereafter developed), worldwide, in perpetuity, without any obligation, notice or consideration except for the awarding of the Prize(s) to the winner(s). Entrants and winner(s) acknowledge that The Promoter and its licensees are relying on the irrevocable, unconditional and perpetual nature of the grants of rights and releases herein (including, without limitation, regarding rights of publicity), and any interference by entrants or winner(s) therewith would cause The Promoter and its licensees, and its successors, licensees and assigns, irreparable (not compensable by money damages alone) and excessive damages and would be manifestly unfounded, such that The Promoter and its licensees shall be entitled to equitable and injunctive relief (with no obligation to post bond or surety or establish likelihood of success) in addition to remedies at law.
17. By participating, you agree to be bound by the Official Rules and decisions of The Promoter. Entrants agree to release, discharge and hold harmless TikTok, and The Promoter and its parent, and each of their subsidiaries, affiliates, agents, distributors, licensors, licensees, representatives, attorneys, Prize providers and advertising and promotion agencies, and each of their respective directors, officers, employees, agents, successors and assigns (“Released Parties”): from and against and any and all claims, liability, costs, losses, damages or injuries of any kind arising out of or related to entrants’ participation in the Promotion and/or related to any Prize (including, without limitation, losses, damages or injuries to entrant's or any other person’s equipment or other property, or to their persons, related to participation in the Promotion; or arising out of any violation of rights of publicity or privacy, or claims of defamation or portrayal in a false light; or based on any claim of infringement of intellectual property; or from any typographical, human or other error in the printing, offering, selection, operation or announcement of any Promotion activity and/or Prize). Without limiting the generality of the foregoing, entrants agree that Released Parties: (A) have neither made nor will be in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, in connection with the Promotion and/or with respect to Prizes, including, without limitation, to any Prize’s quality or fitness for a particular purpose; (B) maintain no control over the personnel, equipment or operation of any restaurant or other person or entity furnishing services, products or accommodations (“Suppliers”) as a part of the Prizes provided in connection with the Promotion; and (C) will not be responsible or liable for any injury, damage, loss, expense, accident, delay, inconvenience or other irregularity that may be caused or contributed to: (1) by the wrongful, negligent or unauthorized act or omission on the part of the Suppliers or any of their agents, servants, employees or independent contractors, (2) by any defect in or failure of any vehicle, equipment, instrumentality, service or product that is owned, operated, furnished or otherwise used by any of those Suppliers, (3) by the wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Released Parties, and (4) by any cause, condition or event whatsoever beyond the control of the Released Parties. Entrants agree that the Released Parties shall have no responsibility or liability for discontinued Prizes; human error; incorrect or inaccurate transcription of registration and/or account information; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, or Internet service provider utilized by Sponsor; interruption or inability to access TikTok or The Promoter or affiliated entities’ respective websites, or any online service via the Internet due to hardware or software compatibility problems; any damage to participant’s (or any third person’s) computer and/or its contents related to or resulting from any part of the Promotion; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of the Released Parties. Each entrant further agrees to indemnify and hold harmless Released Parties from and against any and all liability resulting or arising from the Promotion and to release all rights to bring any claim, action or proceeding against Released Parties and hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a Prize, including express warranties provided exclusively by a Supplier that may be sent along with a Prize. The Promoter is not responsible for the actions of entrants in connection with the Promotion, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Promotion. By participating in this Promotion, entrants hereby agree to irrevocably release and hold the Released Parties harmless from and against all losses, damages, liabilities, claims, actions, proceedings, or judgments arising out of or relating to entrants’ entry or participation in this Promotion or in connection with (including any use or misuse) of any Prizes awarded hereunder. Entrants further understand and agree that all rights under Section 1542 of the Civil Code of California (“Section 1542”) and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Entrants acknowledge that Section 1542 provides that: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.
